On the mandatory share buyout offer

With this joint stock company " Kurzemes ciltslietu un mākslīgās apsēklošanas stacija " informs that on June 4, 2018, the mandatory share buyout offer, expressed by the shareholder joint stock company “AGROFIRMA TĒRVETE”, will commence.

Target company: Joint stock company "Kurzemes ciltslietu un mākslīgās apsēklošanas stacija", registered in the Commercial Register of the Republic of Latvia on April 7, 2004 with registration number: 40003017085, legal address: Jaunpils nov., Jaunpils pag., Jaunpils, LV-3145, phone: 63181144, 63107104, fax: 63181241, e-mail address: kcmas@kcmas.lv (hereinafter - Target company).

Offeror: The shareholders of the target company's general shareholders' meeting of April 30, 2018, on the issue of the exclusion of shares from the regulated market "for" are:

• joint stock company "AGROFIRMA TĒRVETE", registered in the Commercial Register of the Republic of Latvia on May 21, 2004 with registration number: 45103001086, legal address: Tērvetes nov., Tērvete parish, Kronauce, "Tisas", LV-3730;
• Limited Liability Company "Union of Latvian Breeding Breeders", registered in the Commercial Register of the Republic of Latvia on June 2, 2004 with registration number: 40003134620, legal address: Republikas laukums 2, LV-1010;

According to Section 66, Paragraph Four, Clause 2 of the Financial Instrument Market Law, joint-stock company "AGROFIRMA TĒRVETE", registered in the Commercial Register of the Republic of Latvia on May 21, 2004, with registration number: 45103001086, legal address: Tērvetes county, Tērvete parish, Kroņauce, "Tisas", LV-3730 (hereinafter - the Offeror) is authorized to make a mandatory repurchase offer.

One share buyout price is EUR 1.76.

The offer period is 30 (thirty) days - starting from June 4, 2018 until July 3, 2018 (inclusive).
