Notification on redemption of shares

On 9 January 2018 the Financial and Capital Market Commission has made a decision based on the Financial Instruments Market Law according to which it allows to make the final redemption of shares of AS “Daugavpils Lokomotīvju Remonta Rūpnīca”.

The Target Company: AS “Daugavpils Lokomotīvju Remonta Rūpnīca”, unified registration number 40003030219, registered address: Marijas iela 1, Daugavpils LV-5404, Latvia, telephone: + 371 65404420, fax: + 371 65404421, e-mail address: info@dlrz.lv web page address: www.dlrz.lv.

Information on the purchaser: AS Skinest Rail, registered with the Enterprise Register of Estonia on 16 October 1997 with registration number: 10293440, registered address: Mõisa 4, 13522 Tallinn, Estonia.

AS Skinest Rail has become a sole shareholder of a shareholder of the Target Company OÜ Lokomotiiv Investeeringud, thus, acquiring also an indirect shareholding in the Target Company.

The redemption price for one share: EUR 0.44. The redemption price for one share has been determined based on the provisions of Article 81 paragraph five and Article 74 paragraph one of the Financial Instruments Market Law.

The record and payment dates: The record date has been determined as the seventh working day after publication on the final share redemption in the official newspaper “Latvijas Vēstnesis”, i.e. 24.01.2018.

The payment date has been determined as the next working day following the record date, i.e. 25.01.2018.

The final share redemption prospect is available on website of AS “Nasdaq Riga” www.nasdaqomxbaltic.com, as well as on website of AS “Daugavpils Lokomotīvju Remonta Rūpnīca” www.dlrz.lv or notifying on that in advance by phone (67365000) or e-mail (latvia@sorainen.com) at the office of ZAB SORAINEN at 21 Kr. Valdemara street (4.fl.) Riga on the working days from 10:00 to 17:00.
