AS DelfinGroup announces its intention to redeem in full, ahead of maturity, the bonds with ISIN LV0000860146 and ISIN LV0000870145 on 25 August 2026, with the record date set for 24 August 2026.

In accordance with the terms of the prospectus for the subordinated debt securities with ISIN LV0000870145, the bonds will be redeemed at a premium of 1% of the early redemption amount. In accordance with the terms of the prospectus for the unsecured debt securities with ISIN LV0000860146, the bonds will be redeemed at their nominal value.

The purpose of the early redemption is to optimise the company’s financing costs and to address the approaching maturity of the bonds with ISIN LV0000860146, which was originally scheduled for 25 November 2026.

Condition for early redemption

The early redemption of both bond issues is conditional upon DelfinGroup successfully raising the funds required for the redemption by the redemption date. DelfinGroup will not be obliged to proceed with the early redemption if this condition is not satisfied. DelfinGroup reserves the right, at its sole discretion, to waive this condition.

No later than one business day before the scheduled redemption date, DelfinGroup will announce whether the condition has been satisfied. If the condition has not been satisfied, the Company will announce whether it has nevertheless decided to proceed with the early redemption. If the condition has not been satisfied and DelfinGroup has not decided to waive it, the bonds will remain outstanding and interest, or coupon, will continue to accrue in accordance with the terms of the respective bond issues.
