In order to refinance existing notes ISIN LV0000870145, on 13 July 2026, AS DelfinGroup submitted documents to Nasdaq CSD to register new subordinated notes issue with the following characteristics:

Notes issue will be structured as a private placement with EUR 100,000 minimum investment. See Issue Terms attached.

Offer to existing investors

From 15 July to 28 July 2026, holders of the existing notes ISIN LV0000870145 (maturity date 25 May 2029) will have the opportunity to exchange their holdings for the new notes of AS DelfinGroup. Participants in the exchange offer will be entitled to receive a fee of 1% of the nominal value of the exchanged notes, payable within ten business days following the conclusion of the exchange period. Noteholders will receive detailed information and instructions regarding the exchange procedure from their respective custodians.

Noteholders holding LV0000870145 notes for at least EUR 100,000 are eligible for exchange offer.
