AS Grenardi Group announces that, in accordance with the resolution adopted at the shareholders’ meeting held on 20 May 2026, the Group plans to increase its share capital by EUR 1,500,000 within the next six months through the issuance of 15,000,000 new registered shares, each with a nominal value of EUR 0.10.

At the same time, we remind investors that on Tuesday afternoon, 26 May, at 15:30 (EET), the subscription period for AS Grenardi Group’s subordinated bond offering closes. The bonds, carrying a fixed annual interest rate of 10%, are offered to both retail and institutional investors across Latvia, Estonia, and Lithuania.

The issue size is up to EUR 7 million, with each bond having a nominal value of EUR 100. The bonds have a maturity of 4 years with interest paid monthly.

As part of the offering, holders of the Company's first tranche senior secured bonds (ISIN LV0000860179), issued under the bond programme, are also offered the opportunity to exchange their current holdings for the new subordinated bonds. The exchange is carried out in accordance with the terms described in the Information Document.

The primary purpose of the issue is to partially refinance the existing first tranche senior secured bonds by way of the exchange offering, and to refinance the existing subordinated bonds (ISIN LV0000870103).

Investors are encouraged not to postpone their investment decision until the last day, as the subscription procedure, bond exchange process, and required documentation may vary between banks.

AS Grenardi Group intends to apply for the listing of the bonds on the Nasdaq Baltic First North market within 12 months following the issue date.
