Amber Beverage Group Holding S.à r.l. has notified the Luxembourg Financial Sector Supervisory Commission (Commission de Surveillance du Secteur Financier or CSSF) regarding an expected delay in the publication of the annual and quarterly financial reports for the financial year ending December 31, 2025.

The Company is currently navigating a complex restructuring process, characterized by a "perfect storm" of external macroeconomic shocks and operational pressures. This situation has necessitated a comprehensive reorganization to stabilize the Group’s long-term viability. The auditors have informed that they will not be able to prepare the reports within the specified deadlines. Several critical factors have converged to impede our ability to meet the original deadlines.
