AS PN Project has received the notification from UAB Matuda, a closely related person to person discharging managerial responsibilities within AS PN Project, on transactions with AS PN Project bonds as part of additional bond placement process by Mintos Marketplace. 

The majority of the transactions disclosed were carried out in the context of a standing arrangement in place between AS “PN Project” and an investment service provider AS "Mintos Marketplace", acting as a selling agent, for the placement and distribution of AS “PN Project” bonds to investors through an investment platform. Within this framework, the investment service provider offers to investors notes backed by the AS “PN Project” bonds, and the bonds are sold as part of the bond placement process. The transactions were not executed on an ad hoc basis and were not driven by short-term market movements.

The transactions formed part of a regular and ongoing bond placement process, carried out on a recurring basis. UAB Matuda executed the transactions in its own name and for its own account, and the transactions did not give rise to any personal economic benefit for the person discharging managerial responsibilities.

Future transactions of a similar nature, if any, will be disclosed in accordance with applicable law.
