By the end of 2025, the Management Board of AS Grenardi Group (reg. No. 40203279291) plans to initiate a reorganisation under which its wholly owned subsidiaries, SIA Grenardi Latvia (reg. No. 50003474971) and SIA GOLDLIGHT (reg. No. 40003480834), will be merged into SIA GIVEN Latvia (reg. No. 40203166474).

As all shares of SIA Grenardi Latvia and SIA GOLDLIGHT are owned by AS Grenardi Group, the sole shareholder of these companies, the reorganisation may be carried out under the shortened procedure in accordance with Section XIX of the Commercial Law. The primary objective of the reorganisation is to consolidate the commercial activities of all three companies involved, thereby improving governance, process efficiency, and cost-effectiveness.

The reorganisation is planned as a merger in which SIA GIVEN Latvia will assume all rights, obligations, and assets of SIA GOLDLIGHT and SIA Grenardi Latvia.

The draft reorganisation agreement is planned to be submitted to the Register of Enterprises of the Republic of Latvia by 1 December 2025.
