On results of the final share redemption.

Considering the provisions of Section 79, Part 1 of the Financial Instruments Market Law, hereby AS Skinest Rail announces results of the final shares redemption for AS “Daugavpils Lokomotīvju Remonta Rūpnīca” shares.

Target company: AS “Daugavpils Lokomotīvju Remonta Rūpnīca”, registration number 40003030219, registered address: Marijas iela 1, Daugavpils LV-5404, Latvia, telephone number: + 371 65404420, fax number: + 371 65404421, e-mail address: info@dlrz.lv web page address: www.dlrz.lv (hereinafter the Target Company).

Purchaser: Company AS Skinest Rail, registered with the Enterprise Register of Estonia on 16 October 1997 with registration number: 10293440, registered address: Mõisa 4, 13522 Tallinn, Estonia (hereinafter the Purchaser).

On 13 December 2017 the Purchaser acquired all 2,556 shares in Estonian company OÜ Lokomotiiv Investeeringud, registration number: 11096115 (hereinafter - OÜ Lokomotiiv Investeeringud). OÜ Lokomotiiv Investeeringud directly owns 3,815,805 shares of the Target Company with voting rights.

The amount of shares offered for sale: 338,745 shares of the Target Company has been offered for the sale and alienated in accordance with Section 83 of the Financial Instruments Market Law.

The amount of shares that will be in possession of the Purchaser after fulfilment of the share redemption offer: After fulfilment of the share redemption, the Purchaser directly owns 4,478,414 shares in the Target Company that together with shares owned by OÜ Lokomotiiv Investeeringud in the Target Company comprises 100% of the voting share of the Target Company.
